Thank you for your interest in doing business with Muntajat, upon receiving applications, Muntajat will assess and review the submissions. Registration does not signify or confirm Muntajat's qualification or pre-qualification of any entity or any type of commodity or scope of work. The award of any business by Muntajat will follow established procedures for tendering, bidding, evaluation and award.

PURCHASE ORDER TERMS AND CONDITIONS

The following terms and conditions together with the face of this Purchase Order and all attachments hereto (collectively, the 'PO') constitute the entire agreement between MUNTAJAT and the addressee named on the face of this PO ('Seller'), with respect to the goods described on the front of this PO (the 'Goods'), which the Seller shall provide to MUNTAJAT under this PO. Goods include, without limitation, any items, goods, deliverables, materials and/or services listed on the face of this PO.

  1. ENTIREAGREEMENT.The PO constitutes the entire agreement between MUNTAJAT and Seller. Any terms and conditions ('T&Cs') stated on the face of this PO will supersede any conflicting T&Cs of this PO. No T&Cs contained in any previous, contemporaneous or future invoice, proposal, price quotation, acknowledgement, or communication, whether oral or written, whether such other T&Cs conflict or not with the PO, shall have any effect whatsoever; provided, however, that if MUNTAJAT and Seller have executed or execute a written agreement related to the same subject matter, then only said written agreement shall supersede this PO. No additions, exception or changes  to these PO shall have any effect unless expressly agreed to in writing by Qatar Marketing and Distribution Company TC.
  2. ACCEPTANCEOF PO. Seller's delivery of goods, commencement of performance of services, acceptance of payment or signature on the face of this PO, whichever occurs first, shall evidence Seller's unconditional acceptance of this PO.
  3. CHANGES.MUNTAJAT may, at any time, by written notice to the Seller, make changes in the quantity, quality, specifications, instructions for work, place of delivery, etc., of the Goods and Seller shall comply with such changes; provided, however, that if any such changes causes an increase or decrease in the price of the Goods or the time required to perform Seller's obligations. Seller must notify MUNTAJAT in writing immediately, in which event an equitable adjustment to the price or time of performance shall be made by the parties in writing; further provided, in the case of any increase, that Seller gives MUNTAJAT evidence of such increase, as reasonably required by MUNTAJAT. Nothing herein shall excuse Seller from performing this PO as changed. Seller shall not substitute Goods or make any change to quantity, quality, specifications, instructions for work, place of delivery, etc., of the Goods, without MUNTAJAT's prior written consent.
  4. PRICES.Unless otherwise stated on the face of this PO, the prices listed on the face of this PO are fixed, not subject to change for any reason including due to currency fluctuations, and include all charges for Goods, including, without limitation, costs for packing, freight, crating, storage, transportation to point of delivery, taxes, and duties, and any and all costs and expenses incurred by Seller to perform its obligations hereunder. Any price reduction extended by Seller to any other customer before the delivery of Goods shall also be extended to MUNTAJAT.
  5. INVOICING.Invoices shall be delivered to MUNTAJAT Accounts Payable Team, at the address shown on the face of this PO, within thirty (30) calendar days of delivery of Goods to MUNTAJAT's satisfaction. Invoices shall make express mention to the number of this PO and must be accompanied by all supporting documentation reasonably required by MUNTAJAT. Errors or omissions on invoices or lack of supporting documentation will cause withholding of payment until corrected invoices, or the missing supporting documentation, are delivered to MUNTAJAT.
  6. PAYMENT.Unless otherwise stated on the face of this PO, MUNTAJAT shall pay undisputed amounts on invoices within thirty (30) calendar days of receipt of such invoices, or of the corrected invoices or missing supporting documentation if applicable, to its satisfaction. Payment shall be deemed made once MUNTAJAT has mailed, wired or transmitted the payment regardless of the date Seller or Seller's bank effectively receives such payment. Payment of price shall be the only and full consideration for Seller's performance of this PO.
  7. PACKING.Seller shall pack all Goods in accordance with applicable laws and regulations and best commercial practices, to ensure Goods are delivered to MUNTAJAT in perfect condition. Each package must be labeled and marked to identify contents without opening. MUNTAJAT has the right to reject any and all Goods it considers inadequately packaged. Any damage suffered by the Goods for lack of proper packaging shall be at Seller's expense. MUNTAJAT shall have the right to deduct such damages from any amount due Seller.
  8. DELIVERY. Time is of the essence. Seller shall deliver the Goods no later than the delivery date, between 08:00 and 14:00, and to the place indicated on the face of this PO.  If Seller fails to deliver the Goods in a timely manner, in addition to any other rights or remedies provided by law, equity, or this PO, MUNTAJAT may, at its choice, cancel this PO or have a third party, chosen by MUNTAJAT, perform Seller's obligations at Seller's cost.
  9. RISKOFLOSS. Unless otherwise stated on the face of this PO, Seller shall assume the risk of loss or damage to the Goods until the Goods are delivered to MUNTAJAT. Title shall pass to MUNTAJAT upon such delivery.
  10. INSPECTIONANDACCEPTANCE. All Goods to be provided under this PO shall meet the specifications set forth in this PO. MUNTAJAT reserves the right to reject any and all Goods not conforming to said specifications. All Goods shall be received subject to MUNTAJAT's inspection and acceptance. MUNTAJAT shall have fifteen (15) calendar days following physical delivery of Goods to inspect and accept or reject all or part of the Goods. Rejected Goods will be returned to Seller, at Seller's cost. Seller shall reimburse MUNTAJAT the price paid for any returned Good, plus any transportation cost (both ways). Acceptance of Goods shall not be considered a waiver of MUNTAJAT's rights to return any or all Goods received because of defects or other breach of warranty.
  11. GENERAL INDEMNIFICATION. Seller shall defend, indemnify and hold MUNTAJAT harmless for any and all claims, liability, loss, damages, cost and expenses of any kind (including legal fees) arising out of, resulting from, or in connection with, Seller's negligence, wrongful acts or omissions, breaches of warranty or breaches of this PO or by reason of personal injury, including death, or property damage sustained by any third party, MUNTAJAT or the Seller, arising out of, resulting from, or in connection with, any act or omission of Seller under this PO. For purpose of any indemnity obligation under this PO, the term 'MUNTAJAT' shall include all its directors, officers, employees, contractors (except Seller), costumers or agents, and the term 'Seller' shall include all its directors, officers, employees, contractors or agents.
  12. INTELLECTUALPROPERTYAND CONFIDENTIALITY. Seller shall indemnify and hold MUNTAJAT harmless for any and all claims, liability, loss, damages, cost and expenses of any kind (including legal fees) arising out of, resulting from, or in connection with, the actual or alleged infringement or violation of patents, copyrights, trademarks or other intellectual property, in relation to the Goods or this PO. After payment, MUNTAJAT has the full and sole right, title, and interest in Goods. Seller shall, at MUNTAJAT's request, do all acts and execute all documents as may reasonably be required to enable MUNTAJAT to obtain the full intended benefit of this Section 12. Seller has no right to keep, use and re-produce the Goods agreed upon in this PO. Any intellectual property provided by MUNTAJAT to Seller for Seller to provide the Goods will only be disclosed or used by Seller for purposes of providing such Goods for MUNTAJAT and will not be disclosed or used by Seller for any other purpose.
  13. LIMITATIONOFLIABILITY. In no case shall MUNTAJAT be liable to Seller for any indirect or consequential damage, including, without limitation, loss of profit or loss of business, arising out of, resulting from, or in connection with this PO. In any case, MUNTAJAT's liability to Seller shall be limited to the amount of the total price to be paid by MUNTAJAT for the Goods.
  14. WARRANTY. Seller warrants that all Goods shall be new, free from defects in materials and workmanship, of merchantable quality, fit and safe for the intended purposes and shall otherwise conform to this PO's specifications or, in the case of services, shall be completed in a professional, workmanlike manner, and in accordance with the best commercial practices. Seller also warrants that it has clear title to the Goods and that Goods shall be delivered free of liens or encumbrances.
  15. TERMINATION.(i) Termination for Convenience. MUNTAJAT may terminate this PO, in whole or in part, without liability, at any time by giving notice to Seller in writing. Such termination shall be effective immediately upon receipt by Seller of MUNTAJAT's notice, unless otherwise stated therein. Upon receiving such notice, Seller shall immediately stop any ongoing work. MUNTAJAT shall pay Seller all Goods delivered and accepted by MUNTAJAT prior to the effective date of termination. (ii) Termination for Default. MUNTAJAT may terminate this PO, in whole or in part, without liability, in case of Seller's breach of its obligations hereunder which is not cured within five (5) days of MUNTAJAT's notice to Seller regarding such breach; if deliveries are not made within the specified date; or if Goods do not conform to this PO's specifications. Such termination shall be effective immediately upon receipt by Seller of MUNTAJAT's notice.
  16. MISCELLANEOUS
    1. ASSIGNMENT;SUB-CONTRACTING.Seller may not assign any of its rights or obligations under this PO or subcontract any part of the Goods without MUNTAJAT's prior written consent.
    2. SEVERABILITY. If any provision of this PO is held invalid, illegal or unenforceable, the other provisions of this PO shall remain in full force and effect.
    3. SURVIVAL. Any provision which, by its nature, is intended to survive the termination or expiration of this PO shall survive such termination or expiration, including, without limitation, Sections 11, 12, 13, 14 and 16.7.
    4. NOTICES.All communications under this PO shall be made in writing and sent to the addresses set forth on the face of this PO and shall be deemed given when delivered personally, sent by confirmed telex or facsimile, or sent by commercial overnight courier with written verification receipt.
    5. USE OF MUNTAJAT'S NAME. Seller shall make no reference or mention to MUNTAJAT, MUNTAJAT's use of Seller, or this PO, without MUNTAJAT's prior written consent.
    6. INDEPENDENTCONTRACTOR. Seller shall have no power, express or implied, to bind or represent MUNTAJAT and shall always act as an independent contractor, on its own name and behalf. Seller shall be responsible for all costs and expenses required to perform its obligations under this PO and shall provide its own supplies and equipment.
    7. GOVERNINGLAW;DISPUTE RESOLUTION. Seller will comply with all applicable laws in performing its obligations under this PO. The laws of the State of Qatar shall govern this PO. Any and all disputes arising out of, related to, or in connection with this PO shall be resolved by the courts of the State of Qatar.
    8. ENVIRONMENTALLY PREFERABLE PURCHASING (EPP). MUNTAJAT is a company committed to the well fare of the State of Qatar that complies with Responsible Care® and “buying green” principles. Because of that, Seller will provide goods that meet the criteria for Environmentally Preferable Purchasing (EPP) established by the Environmental Protection Agency (EPA), available at http://www.epa.gov/epp/index.htm.
